Welcome to the pRESPECT Academy, the Online learning platform for pRESPECT

 

In these Terms, we refer to pRESPECT or PRESPECT LTD as “our”, “we”, or “us”.

Before you proceed to access the courses, digital downloads, membership and communities available here, you must read and agree to the terms of this User Agreement.

  1. Definitions
1.1. Copyright: All rights related to the ownership and protection of content, course materials, online programmes, anywhere in the world, that we hold or might obtain in the future.

1.2. 
Content: All types of materials provided by the Licensor to the Licensee, such as text, data, software, images, audio, and video, regardless of the form or medium.

1.3. Licensor: The owner of the online courses and corresponding materials (Prespect Ltd) who is granting a licence to the licensee.

1.4. Licensee: The user seeking access to the online courses.

1.5. Intellectual Property Rights: These are legal rights given to inventions, designs, creative works, and business identifiers. They include: Patents, Copyrights, Trade marks, Design rights, Trade secrets. Intellectual Property rights also include the right to take legal action against anyone who uses these rights without permission. These rights can be registered or unregistered and include the ability to apply for future protection.

2. Acceptance of Terms

2.1. By accessing and using our online course materials, you are agreeing to be bound by the terms of this user agreement. If you do not wish to accept these terms and be bound by them, you must not proceed to access or use information from our online courses.

3. Copyright and Trade Marks

3.1. All materials, including videos, documents, text and related media, provided in our online courses are owned by Prespect Ltd as the sole proprietor. All materials, including videos, documents, text and related media and are protected by copyright in accordance with Copyright, Designs and Patents Act 1988. 

3.2. pRESPECT and its associated logos are protected as trade marks under the UK Trade Marks Act 1994

4. License to Use

4.1. We grant you a non-exclusive, non-transferable, revocable license to access and use the course materials for your own personal, non-commercial purposes. This license prohibits you from:

  1. Distributing the materials to any third party.
  2. Making the materials available on any online platform unauthorized by us, for any purpose.
  3. Using the materials for any commercial purpose, including but not limited to selling, licensing, or renting them.
  4. Modifying, translating, adapting, or otherwise creating derivative works from the materials.
  5. Using the course materials in any way that Competes with our business.
  6. Using the course materials in any way that or infringes our intellectual property rights.

5. Termination

5.1. Should you breach the terms of this user agreement, we reserve our right to immediately terminate your access to the online course and materials without notice. 

5.2. We also reserve our right to take legal action against the unauthorised use of our course materials, including copyright infringement, trade mark infringement or any other legal remedy available to us. 

6. Limitation of Liability

6.1. Under no circumstances shall Prespect Ltd be liable for any direct or indirect damages resulting from your use of the course materials or your breach of this Agreement.

7. Governing Law

7.1 This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
